Terms of Service

These Terms of Service govern the relationship between Groke Digital ("we", "us", "our") and clients who engage our services. By engaging Groke Digital for any service, you agree to these terms. Questions: grokedigital@gmail.com.
1. Services
Groke Digital provides IT and digital marketing services including Amazon management, Shopify development, web development, app development, AI automation and digital marketing. The specific scope of services for each engagement is defined in a written Statement of Work or service agreement provided to the client before work commences.
We reserve the right to decline any project at our sole discretion. Submission of an enquiry does not constitute acceptance of a project.
2. Payment
Project-based engagements require a deposit (typically 50%) before work begins, with the balance due on completion or at agreed milestones. Monthly retainer services are invoiced at the beginning of each service period and due within 7 days.
All prices are in US Dollars unless otherwise stated. Late payments may result in work being paused until the account is brought current. We reserve the right to charge interest on overdue amounts at 1.5% per month.
3. Intellectual property
Upon receipt of full payment, the client owns all custom deliverables created specifically for their project, including website code, app source code, design files and written content. Groke Digital retains ownership of any pre-existing tools, frameworks, templates or methodologies used in delivery.
The client grants Groke Digital permission to feature completed work in our portfolio and case studies, unless explicitly agreed otherwise in writing.
4. Client responsibilities
The client is responsible for providing accurate information, timely feedback, required access credentials and content necessary for project delivery. Delays caused by the client may affect delivery timelines. Groke Digital is not liable for delays resulting from insufficient client input.
5. Cancellation
Monthly retainer services may be cancelled with 30 days written notice. Project-based work may be cancelled before commencement for a full refund of any deposit. Cancellation after work has begun will result in payment for work completed to date, and deposits are non-refundable once work has commenced.
6. Limitation of liability
Groke Digital's liability for any claim arising from our services is limited to the total amount paid by the client for the specific service giving rise to the claim in the 3 months preceding the claim. We are not liable for indirect, consequential, or incidental damages including lost revenue or lost profits.
We do not guarantee specific business outcomes such as revenue, rankings, ROAS or conversion rates, as these depend on factors outside our control including market conditions, competition and platform algorithms.
7. Confidentiality
Both parties agree to keep confidential any proprietary business information shared during the engagement. This obligation survives termination of the service relationship for a period of 2 years.
8. Governing law
These terms are governed by the laws of the Province of Ontario, Canada. Any disputes shall be resolved through binding arbitration in Toronto, Ontario, Canada.
9. Changes to these terms
We may update these terms periodically. The date at the top reflects the most recent update. Continued engagement with our services after changes constitutes acceptance of the updated terms.
